Key terms summary (full detail in the linked agreement):
Independent contractor status — Contractor controls the means, methods, and manner of performing services; Company's interest is limited to results (closed sales, executed client agreements)
Compensation — 25% commission on Monthly Recurring Revenue (MRR) per closed client; one-time fees (installation, setup, equipment, processing fees) are non-commissionable except under written promotional exceptions
Commission trigger — Commission is earned only once all three conditions are met: executed client agreement, installation fee collected and cleared, and first billing cycle completed
Clawback — Commission on a client who cancels within 90 days of activation may be recouped via offset against future commissions (no direct repayment owed)
Designated coordination channel — The "Human in the Loop" Slack channel is the primary coordination platform; consistent engagement (reviewing threads within 1 business day) is required to maintain active contractor status
Client & data ownership — All clients, client data, and client contracts belong exclusively to Company
Confidentiality — Confidential information must be protected during and for 5 years after the engagement
Non-solicitation — For 12 months post-termination, no soliciting Company clients, prospects, or personnel
Residual compensation — Residuals on Qualifying Accounts continue post-termination per the wind-down schedule in Section 9, varying by how/why the agreement concludes
Termination — Either party may terminate without cause on 14 days' written notice, or immediately for material breach, fraud, or reputational harm
Governing law & disputes — Governed by Florida law; disputes go through negotiation, then mediation, then binding arbitration seated in Polk County, FL, with a class action waiver
